INSTRUMENT OF CONFIDENTIALITY & FIDUCIARY COVENANT

THIS AGREEMENT is made on the date of electronic acceptance ("The Effective Date")

BETWEEN:

THE GUARDIAN: Brian Reece, as the developer and proprietor of the Council Tax Fiduciary Audit Protocol (the "Disclosing Party").

THE RECEIVING PARTY: The individual whose details are provided in the application form, seeking access to the Protocol for personal administrative use (the "Receiving Party").

1. RECITALS
A. The Disclosing Party has developed a proprietary administrative framework known as the "2026 Council Tax Audit Initiative" (the "Protocol"), involving highly classified legal logic, scripts, and jurisdictional templates.
B. The Receiving Party desires access to this Protocol to manage their personal private affairs.
C. This Agreement is a condition precedent to the disclosure of any Protocol materials, including payment instructions and the verification call.
D. COHORT MANAGEMENT: The Receiving Party acknowledges that while the initial intake targets a cohort of 50, the Guardian reserves the absolute right to extend the cohort size or modify intake limits at any time, at their sole discretion, to ensure the sustainability of the mission.

2. DEFINED CONFIDENTIAL INFORMATION (DYNAMIC SCOPE)
"Confidential Information" shall mean all oral, written, or digital information disclosed by the Guardian, whether disclosed before or after the Effective Date, including but not limited to:

Current Instruments: The "Initial Public Trustees Inquiry," "Administrative Estoppel Records," and "Individual Liability Trap."

Proprietary Visuals: "Exhibit A" (The Jurisdictional Architecture).

Strategic Scripts: The "Justices Court Skeleton Script" and "Section 111 Escalation Pathway."

Future Disclosures: Any and all subsequent instruments, tactical amendments, "Nuclear" logic updates, or supplementary documents introduced during the 2026-2027 cycle.

Internal Intelligence: All communications, tactics, and data shared within the Private Telegram Group or during verification calls.

3. THE ABSOLUTE EMBARGO (NON-REDISTRIBUTION)
The Participant hereby enters into a strict Covenant of Silence:

3.1 Zero-Tolerance Sharing: You shall NOT share, show, copy, transmit, or redistribute any Confidential Information to any third party whatsoever. This includes but is not limited to: family members, friends, legal "advisors," or other advocacy groups.

3.2 Digital Embargo: You are strictly prohibited from uploading any Protocol materials to any website, cloud drive, or social media platform (including but not limited to Facebook, YouTube, X, TikTok, or public Telegram channels).

3.3 No Derivative Works: You shall not use the logic or instruments to create your own "templates" or derivative versions for public or private distribution.

3.4 Personal Use Limitation: This Protocol is licensed for your one-to-one interaction with the Council for your specific property address. Use for any other purpose is a fundamental breach.

4. MANDATORY AFFIRMATION OF STANDING & NON-SABOTAGE
The Participant solemnly affirms:

4.1 Verification: That they are not an employee, agent, informant, or contractor of any Local Authority, the Ministry of Justice, the Police, or any debt collection agency.

4.2 Non-Infiltration: That they are not joining this cohort to "monitor," "audit," or "report" on the strategies to any state entity.

4.3 Non-Disparagement: The Participant agrees not to make any false, defamatory, or disparaging statements regarding the Protocol or the Guardian, acknowledging that "no guarantees of success" are provided and outcomes depend on the integrity of the forum.

5. REMEDIES, EQUITABLE RELIEF & LIQUIDATED DAMAGES
5.1 Breach of Trust: Any breach of this Covenant constitutes a Breach of Fiduciary Trust and a theft of Intellectual Property.

5.2 Injunctive Relief: The Participant acknowledges that a breach would cause irreparable harm. The Guardian shall be entitled—without the necessity of posting a bond—to seek an immediate Injunction in the High Court of Justice (Chancery Division) to restrain further disclosure.

5.3 Pre-Estimated Loss: In the event of a documented leak to a public website or social media platform, the Participant accepts liability for a pre-estimated minimum loss of £10,000 per disclosure instance, representing the damage to the exclusivity and operational security of the cohort.

6. DURATION & SURVIVAL
The obligations of confidentiality under this Instrument are permanent. They shall survive the termination of the Participant’s membership or the conclusion of their Council Tax challenge. The "Jurisdictional Architecture" remains a protected asset in perpetuity.

7. NO PARTNERSHIP OR AGENCY
Nothing in this Agreement creates a partnership, joint venture, or solicitor-client relationship. The Guardian provides intelligence only; the Participant acts as their own Trustee/Agent at their own risk.

8. THE DUTY OF INTELLIGENCE SHARING & EXPERIENCE FEEDBACK
The Participant acknowledges that the Protocol is a dynamic instrument requiring real-time "battlefield" intelligence to remain effective.

8.1 Reporting Requirement: The Participant covenants to provide the Guardian with full and honest feedback regarding their experience using the Protocol. This includes, but is not limited to: summaries of written responses from the Council, outcomes of meetings with Council CEOs or representatives, and detailed records of Court appearances.

8.2 Educational Use: The Participant grants the Guardian an irrevocable, royalty-free license to use these shared experiences, feedback, and outcomes for the purposes of forensic analysis, ongoing Protocol development, and the education of the cohort.

8.3 Redaction for Privacy: The Guardian agrees that any shared experiences used for training or development will be fully anonymised and redacted of all Personal Identifiable Information (PII) to protect the Participant’s privacy before being shared with the wider group.

9. INTELLECTUAL PROPERTY & STATUTORY COPYRIGHT
9.1 Ownership: All instruments, scripts, and the proprietary arrangement of the Fiduciary Audit Protocol are the exclusive property of the Guardian.

9.2 CDPA 1988 Protection: The Receiving Party acknowledges that all documents provided constitute "Original Literary Works" and "Databases" under the Copyright, Designs and Patents Act 1988.

9.3 Technicalities & Expression: While the underlying principles of Equity are public, the specific "technicalities," strategic sequences, visual architectures (e.g., Exhibit A), and linguistic "triggers" within the documents are the proprietary expression of the Guardian. Any unauthorized reproduction, adaptation, or distribution constitutes an actionable Copyright Infringement.

9.4 Prosecution: The Guardian reserves the right to pursue statutory damages and criminal prosecution for wilful copyright infringement under the CDPA 1988 against any individual or entity that violates these protections.

10. GOVERNING LAW
This Instrument shall be governed by and construed in accordance with the laws of England & Wales. The parties submit to the exclusive jurisdiction of the Courts of England & Wales.

DECLARATION OF ACCEPTANCE
By clicking "I CONFIRM," I, the Participant, acknowledge that I have read and understood the terms of this Fiduciary Covenant. I understand that my access is conditional upon a verification call and a 24-hour payment window for the membership fee of £99.
